Terms and conditions

These Terms and Conditions govern your use of www.pinoda.io and the services provided by Pinoda, part of AIDA Growth (“Pinoda”, “we”, “us”). By using the website or our services, you agree to these terms.
1. Our services
Pinoda designs, builds and operates business automation systems, including LeadFlow, our ready-built system for sales and marketing, and systems built around a client’s own processes.
The exact scope, deliverables, timeline and price of each engagement are set out in a written proposal or contract. If that document differs from these terms, the proposal or contract prevails.
2. Using the website
The content on this website is for general information only. It is not an offer and does not create a contract. You agree not to misuse the website, attempt to access it without authorisation, or interfere with how it works.
3. Fees and payment
Fees are those stated in the accepted proposal. Unless agreed otherwise, one-time build fees are invoiced as set out in the proposal, and monthly plans are invoiced monthly in advance.
Prices are in euro and include VAT. Invoices are payable within 7 days. We may pause the service if an invoice remains unpaid after a written reminder.
Subscriptions to third-party tools used by the system stay in your name and are paid by you directly to those providers.
4. Monthly plans and cancellation
Monthly plans run from month to month. You can switch plans or cancel at any time with written notice; cancellation takes effect at the end of the current paid month. Fees already paid are not refunded, unless the contract says otherwise.
5. Your responsibilities
You agree to give us timely access to the people, information, tools and accounts we need to deliver the service, and to make sure the information you provide is accurate and lawful to use.
You remain responsible for the decisions you take based on the system’s output, and for your use of the systems we build in line with applicable law, including rules on direct marketing and data protection.
6. Your data and your tools
Your data, and the accounts and tools the system runs in, remain yours. When we process personal data on your behalf, we do so as a processor under a data processing agreement, in line with Regulation (EU) 2016/679 (GDPR).
When our collaboration ends, we hand over access and documentation and stop processing your data, except where the law requires us to keep it.
7. Intellectual property
Once paid in full, you receive the right to use the workflows, configurations and documentation we build for you, for your own business.
Pinoda keeps ownership of its pre-existing methods, templates, know-how and the LeadFlow system, which we may continue to use for other clients. The content of this website belongs to Pinoda and may not be copied without our permission.
8. Confidentiality
Each party will keep confidential any non-public information received from the other and use it only for the collaboration. This obligation continues after the collaboration ends.
9. Limitation of liability
We deliver our services with professional care, but we do not guarantee specific commercial results, such as a number of meetings, replies or sales.
To the extent permitted by law, our total liability for any claim related to a contract is limited to the fees paid by you under that contract in the 12 months before the claim. We are not liable for indirect losses, such as lost profit or lost data, or for outages and changes in third-party tools we do not control.
10. Governing law and disputes
These terms are governed by Romanian law. The parties will first try to settle any dispute amicably; if that is not possible, the dispute will be resolved by the competent courts in Bucharest, Romania.
11. Changes to these terms
We may update these terms from time to time. The version published on this page applies from the date shown at the top. Changes do not affect contracts already signed, unless both parties agree.
